Terms of Service

These Terms of Service are an agreement between you and VPS.org LLC, which operates vps.org, admin.vps.org and the VPS.org services. By creating an account, placing an order or using the website or the services, you agree to these terms.

1. Your account

You must give us accurate contact and billing information and keep it up to date. You are responsible for keeping your login details, API tokens and SSH keys secure, and for everything done through your account.

We may refuse or cancel an order, or decline to open an account, for example when a payment looks fraudulent.

2. The services

VPS.org provides virtual private servers and related services: one-click application installs, snapshots, optional backups, extra storage, IP address add-ons, DNS, domain registration and the AI Site Builder subscription. Plans, prices and specifications are listed on the pricing page and in the control panel.

Servers are unmanaged. You have full root access and you are responsible for administering your server, including software updates, firewall rules, security configuration and the software you install.

We work to keep the services running, but we do not guarantee any level of uptime, and we do not offer a service level agreement or service credits. Maintenance or a resize may require restarting your server.

Domain names

VPS.org LLC is a reseller of Dynadot Inc, a domain name registrar accredited by ICANN. Domains you register, renew or transfer in through VPS.org are registered with Dynadot, which is the registrar of record. VPS.org LLC is not itself an ICANN-accredited registrar.

When you register or transfer a domain through us, you also agree to Dynadot's Terms of Use and to the policies of the registry for that extension, including ICANN's Uniform Domain-Name Dispute-Resolution Policy. You must give accurate registrant contact details and keep them up to date. A domain can be suspended or cancelled if they are false or out of date.

3. Billing and payment

Servers and paid add-ons are billed by the hour, capped at 672 hours in a calendar month, so a server you keep for a whole month costs its listed monthly price. A server is billed while it exists on your account; destroy it to stop the charges for it.

Usage is invoiced at least once a month and charged to the payment method on your account. New accounts with higher usage may be invoiced more often. We accept credit and debit cards, processed by Stripe, and PayPal. We do not store full card numbers.

Card verification and pre-authorization holds

• When you add a card in the control panel, we place a $10.00 authorization to confirm the card works. This hold is never captured. It is released without charge, and your bank normally removes it within about 7 days.
• When you order your first server, and on larger orders during an account's first 30 days, we place a pre-authorization of about one week of that server's price (at least $1.00). If the server is deployed, the hold is captured about 7 days later as a payment toward your usage. If the server is never deployed, the hold is released. If you destroy the server before then, we capture only the usage it incurred.

The AI Site Builder is a monthly subscription charged in advance at the price shown when you subscribe. Domain registrations and renewals are charged when they are placed.

4. Unpaid invoices, suspension and deletion

If a payment fails, we may retry it. If an invoice remains unpaid, we send a final notice by email. If it is still unpaid 48 hours after that notice, we may suspend the servers on your account: they are shut down and their disks are kept. Paying the outstanding balance lifts the suspension.

Servers that remain suspended for non-payment may be permanently destroyed after further notice. Destroying a server deletes its disk and the data on it, and it cannot be recovered.

5. Refunds

You can ask for a refund within 30 days of your first purchase by contacting support. Refunds go back to the original payment method. There is no refund button in the control panel; please write to us.

Domain registrations and renewals are not refundable. If a domain registration fails, the payment for it is refunded automatically. A card verification hold is not a charge and does not need a refund: it is released on its own.

6. Your data and backups

You own the data you store on your servers, and you are responsible for keeping your own backups of it. Optional backups and snapshots are stored on the same storage cluster as your server, so they do not replace an independent copy kept somewhere else.

When you destroy a server, or a server is destroyed under section 4, its disk is deleted and we cannot restore it.

7. Acceptable use

You must follow the Acceptable Use Policy. We may suspend or terminate a server or an account that violates it, as that policy describes.

8. Copyright complaints

We respond to copyright notices under the Digital Millennium Copyright Act. How to send a notice or a counter-notice, where to send it, and our repeat infringer policy are set out on the DMCA page.

9. Closing your account

You can close your account from the control panel once you have no servers, no unpaid invoices and no active domain registrations. Closing an account deactivates it. We keep billing records after closure. See the Privacy Policy for how to ask us to delete personal information.

We may close an account for non-payment or for a serious or repeated breach of these terms.

10. Disclaimer

The services and the website are provided as is and as available. To the extent the law allows, VPS.org LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the extent the law allows, VPS.org LLC and its suppliers are not liable for any indirect, incidental or consequential damages, or for loss of data, profit or business, arising from the use of or inability to use the services or the website, even if we were told such damage was possible.

12. Website content

The content of vps.org is protected by copyright and trademark law. You may read and use the documentation to set up and run your own servers. The website may contain errors and may link to sites we do not control, and we are not responsible for those sites.

13. Changes to these terms

We may update these terms. When we do, we change the date at the top of this page. If you keep using the services after an update, the updated terms apply to you.

14. Governing law

These terms are governed by the laws of the State of Connecticut, and you submit to the exclusive jurisdiction of the courts in that State.
